1. Acceptance of Terms

Welcome to PropAI. By accessing or using our website, mobile application, or services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Platform.

Important: These Terms constitute a legally binding agreement between you and PropAI. Please read them carefully.

2. Definitions

For the purposes of these Terms:

  • "PropAI," "we," "us," or "our" refers to the PropAI platform and its operators.
  • "User," "you," or "your" refers to any individual or entity using the Platform.
  • "Seller" refers to users listing properties for sale on the Platform.
  • "Buyer" refers to users searching for or purchasing properties through the Platform.
  • "Advocate" refers to users participating in our commission-based referral program.
  • "Property" refers to any real estate listed on the Platform.
  • "Services" refers to all features, tools, and functionalities provided by PropAI.

3. User Accounts

3.1 Registration

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

3.2 Account Types

PropAI offers three types of user accounts:

  • Buyer Account: For users searching for properties
  • Seller Account: For users listing properties for sale
  • Advocate Account: For users earning commissions through referrals

3.3 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Platform. By creating an account, you represent and warrant that you meet these requirements.

4. Property Listings

4.1 Listing Requirements

When listing a property on PropAI, you must:

  • Have legal authority to list the property
  • Provide accurate and truthful information about the property
  • Upload clear, recent, and authentic photographs
  • Disclose all material defects and relevant information
  • Set a fair and reasonable asking price
  • Comply with all applicable laws and regulations

4.2 Listing Approval

PropAI reserves the right to review, approve, reject, or remove any property listing at our sole discretion. We may remove listings that:

  • Contain false or misleading information
  • Violate our content policies
  • Infringe on intellectual property rights
  • Are fraudulent or suspicious
  • Violate applicable laws or regulations

4.3 Listing Fees

PropAI may charge fees for certain listing features or services. All applicable fees will be clearly disclosed before you complete your listing. Fees are non-refundable unless otherwise stated.

5. Advocate Program

5.1 Program Overview

The PropAI Advocate Program allows users to earn commissions by referring properties and clients to the Platform. Advocates receive a unique referral code to track their referrals.

5.2 Advocate Responsibilities

As an Advocate, you agree to:

  • Promote PropAI in a professional and ethical manner
  • Comply with all applicable advertising and marketing laws
  • Not engage in spam, false advertising, or deceptive practices
  • Accurately represent PropAI's services and offerings
  • Maintain confidentiality of sensitive information
  • Not make unauthorized promises or guarantees on behalf of PropAI

5.3 Commission Structure

Advocates earn a commission of 2.5% on successful property sales facilitated through their referrals. The commission is calculated based on the final sale price of the property.

Example: If you refer a property that sells for R3,000,000, you would earn R75,000 in commission (2.5% of R3,000,000).

6. Commissions & Payments

6.1 Commission Eligibility

To be eligible for commission payments, you must:

  • Have an active Advocate account in good standing
  • Have a valid referral code associated with the transaction
  • Comply with all program terms and conditions
  • Provide accurate banking information for payment
  • Meet the minimum payout threshold (if applicable)

6.2 Payment Terms

Commission payments are processed:

  • After the property sale is completed and funds are transferred
  • Within 30 business days of sale completion
  • Via bank transfer to your registered account
  • Subject to applicable taxes and withholdings

6.3 Disputes

Any disputes regarding commission payments must be reported within 30 days of the transaction date. PropAI will investigate and resolve disputes in good faith.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal or unauthorized purpose
  • Post false, misleading, or fraudulent listings
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect or harvest user data without permission
  • Interfere with or disrupt the Platform's operation
  • Attempt to gain unauthorized access to our systems
  • Use automated tools (bots, scrapers) without permission
  • Circumvent any security features or access controls
  • Engage in price manipulation or market manipulation
  • Post content that infringes intellectual property rights
  • Distribute viruses, malware, or harmful code

8. Intellectual Property

8.1 PropAI's Rights

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, images, software, and design, are owned by PropAI and protected by South African and international copyright, trademark, and other intellectual property laws.

8.2 User Content

By posting content on the Platform (including property listings, photos, and reviews), you grant PropAI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and promoting the Platform.

8.3 Restrictions

You may not:

  • Copy, modify, or distribute Platform content without permission
  • Use PropAI's trademarks or branding without authorization
  • Create derivative works based on the Platform
  • Reverse engineer or decompile any Platform software

9. Limitation of Liability

9.1 Platform "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. PropAI does not guarantee that the Platform will be uninterrupted, secure, or error-free.

9.2 No Guarantee of Results

PropAI does not guarantee:

  • That properties will sell at listed prices or within specific timeframes
  • The accuracy or reliability of user-generated content
  • That Advocates will earn specific commission amounts
  • The quality, safety, or legality of properties listed

9.3 Limitation of Damages

To the maximum extent permitted by law, PropAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Platform.

Important: PropAI is a marketplace platform that connects buyers and sellers. We are not a party to any transactions between users and do not guarantee the quality, safety, or legality of properties listed.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting our support team or using the account deletion feature in your profile settings.

10.2 Termination by PropAI

We reserve the right to suspend or terminate your account immediately, without notice, if you:

  • Violate these Terms and Conditions
  • Engage in fraudulent or illegal activities
  • Harm other users or the Platform
  • Fail to pay applicable fees
  • Provide false or misleading information

10.3 Effect of Termination

Upon termination:

  • Your access to the Platform will be immediately revoked
  • Your listings will be removed from the Platform
  • Outstanding commission payments may be forfeited
  • Certain provisions of these Terms will survive termination

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of South Africa.

11.1 Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any disputes through good faith negotiations with PropAI. If a resolution cannot be reached within 30 days, either party may pursue legal remedies.

11.2 Changes to Terms

PropAI reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
